1. The agreement
These terms form an agreement between ORA Commerce ("ORA", "we", "us") and the person or organisation opening an account ("you", "the merchant"). By creating a store, or by using this website, you accept them.
If you accept these terms on behalf of a company, you confirm that you are authorised to bind that company.
We may update these terms. If a change materially reduces your rights we will give you notice by email to the address on the account before it takes effect, and you may end the agreement if you do not accept it.
2. The service
ORA Commerce is a hosted commerce platform. Depending on your plan it provides an online storefront and checkout, counter sales, a wholesale ordering portal, marketing automation, reporting, and Ora, our AI layer.
We are in early access. Features are added and refined continuously, and we may change or withdraw a feature. Where a change removes something you rely on, we will tell you in advance.
- We do not act as a merchant of record. You sell to your customers under your own name.
- We are not a payment institution. Card processing is performed by your payment provider under your agreement with them.
- We are not a delivery company. Fulfilment and shipping are yours to arrange.
3. Your account
You are responsible for the accuracy of the information on your account, for the security of the sign-in methods you use, and for everything done by the staff accounts you create.
Sign-in uses a one-time code sent to your email address. Keep that mailbox secure — access to it is access to your store.
Tell us promptly if you believe an account has been used without your permission.
4. Plans, fees and billing
Paid plans are billed in advance, monthly or yearly, in the currency shown at checkout. The free plan carries no charge and no obligation.
ORA takes no commission on your sales. Your payment provider's processing fees are separate and are charged by them.
Prices are exclusive of any tax we are required to add. Where tax applies it is shown before you confirm.
Upgrades take effect immediately and are charged pro rata. Downgrades take effect at the end of the period you have already paid for.
Early access prices may change. Existing stores are given at least 30 days' notice by email before a price increase applies to them.
5. Acceptable use
You may not use ORA Commerce to do any of the following, and we may suspend a store that does:
- Sell goods or services that are unlawful in the market you sell into.
- Infringe someone else's intellectual property, or pass their brand off as yours.
- Send unsolicited bulk messages to people who did not agree to hear from you.
- Attempt to access another store's data, probe our infrastructure, or bypass a limit on your plan.
- Upload malware, or content that is defamatory, deceptive or designed to harm a person.
- Use the platform to process card data outside your payment provider's own flow.
6. Your content and your data
Your catalogue, your media, your customer records and your orders remain yours. You give us only the licence we need to host, process, back up and display them so the platform can run.
You are responsible for having the right to use the content you upload, and for the lawfulness of what you sell.
On paid plans you can export your data at any time by CSV or over the API. If your account closes, you may export for 30 days before deletion begins.
7. Ora and automated actions
Ora produces two kinds of output: computed observations drawn from your store's own data, and, where you connect a provider key, plain-language answers from an AI model.
Computed observations state the measurement behind them. Model answers are assistance, not advice — check anything you intend to act on commercially.
Ora may perform a fixed, published set of unprompted actions grouped by risk class. You choose which classes are permitted, and each action is written to an append-only log you can read.
You remain responsible for messages sent from your store and for commercial decisions taken on your behalf by rules you configured.
8. Availability and support
We aim to keep the platform available continuously, and we will give notice of planned maintenance where we reasonably can. During early access we do not offer a contractual uptime guarantee.
Support is by email on every plan. Paid plans are prioritised, and Scale includes onboarding assistance.
9. Liability
Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
Subject to that, neither side is liable for indirect or consequential loss, lost profits, lost revenue or lost data arising from the agreement.
Our total liability in any twelve-month period is limited to the fees you paid us in that period. On the free plan, where no fees are paid, that limit is nil.
The platform is provided as it is. We do not warrant that it will be uninterrupted or error-free.
10. Ending the agreement
You may close your store at any time from the settings screen. Closing stops future billing; we do not refund the remainder of a period already paid, except where the law requires it.
We may suspend or end an account that breaches these terms, that puts the platform or other merchants at risk, or that has unpaid fees after we have asked for them.
After closure we keep your data for 30 days so you can export it, then delete it, other than records we are required to retain.
11. Governing law
These terms are governed by the laws of the jurisdiction in which ORA Commerce is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
If any provision is found unenforceable, the rest continues to apply.
